Learning Technologies Group is to acquire GP Strategies for $394m in cash.

GP Strategies will become a division of Learning Technologies Group and continue to go to market with its GP Strategies brand and offerings. The merger provides GP Strategies with a larger client base to provide its services to and increased global capability for greater growth opportunities.

Closing is expected in Q4 2021.

Analyst comments:

Learning Technologies Group provides digital learning software and platforms. GP Strategies will enhance Learning Technologies Group offering by providing:

  • Workforce services including:
    • Learning Services (~42% of revenues) including training, curriculum design and development e-learning services, system hosting, training BPO and consulting services
    • Professional & Technical Services (~20% of revenues) including training, consulting, engineering, and technical services including lean consulting, emergency preparedness, safety and regulatory compliance, chemical demilitarization, and environment services
  • Business Transformation Services, including:
    • Performance Readiness (~20% of revenues) including performance consulting and technology consulting services including platform adoption, end-user training, change management, knowledge management, customer product training outsourcing, training content development, and sales enablement
    • Sandy Training and Marketing (~18% of revenues), including custom product sales training in the U.S. automotive industry and technical training services to automotive manufacturers.
